Sir:
Your Committee on Commerce, Consumer Protection and Housing, to which was referred S.B. No. 1076 entitled:
"A BILL FOR AN ACT RELATING TO BUSINESS REGISTRATION,"
begs leave to report as follows:
The purpose of this measure is to facilitate the formation and operation of businesses in this State.
The Department of Commerce and Consumer Affairs (DCCA) testified in support of this measure.
This measure clarifies ambiguities and corrects inaccuracies in Hawaii's business registration laws, and simplifies the fee structure applicable to business entities. By updating the law to reflect contemporary business practices, Hawaii will enhance its ability to attract new businesses and retain existing businesses.
Your Committee has amended this measure to further conform and make consistent the fee structure by:
(1) Retaining the per page copying fee for certified copies of corporate documents;
(2) Increasing the fee for a nonprofit corporation certificate;
(3) Establishing fees for certified copies of documents filed for general partnerships, limited liability partnerships, and limited partnerships;
(4) Establishing fees for any instance in which the Director of DCCA submits to service of process on behalf of a general partnership, limited liability partnership, or limited partnership;
(5) Establishing fees for the filing of a statement of change of registered office of a limited liability partnership's agent for service of process; and
(6) Decreasing the fee for instances in which the Director of DCCA submits to service of process on behalf of a limited liability company.
Additionally, your Committee has amended this measure to reflect preferred drafting style.
As affirmed by the record of votes of the members of your Committee on Commerce, Consumer Protection and Housing that is attached to this report, your Committee is in accord with the intent and purpose of S.B. No. 1076, as amended herein, and recommends that it pass Second Reading in the form attached hereto as S.B. No. 1076, S.D. 1, and be referred to the Committee on Judiciary.
