PART VI. OFFICE AND AGENT

[§414-61] Registered office and registered agent. (a) Except as provided in subsection (b), each corporation must continuously maintain in this State:

(1) A registered office that may be the same as any of its places of business; and

(2) A registered agent, who may be:

(A) An individual who resides in this State and whose business office is identical with the registered office;

(B) A domestic corporation or not-for-profit domestic corporation whose business office is identical with the registered office; or

(C) A foreign corporation or not-for-profit foreign corporation authorized to transact business or conduct affairs in this State whose business office is identical with the registered office.

(b) A corporation may, but shall not be required, to maintain a registered office and a registered agent in this State during the time that the corporation has at least one officer or director who is a resident of this State. [L 2000, c 244, pt of §1]
