[§425-162] Foreign limited liability partnerships, powers and liabilities. (a) A foreign limited liability partnership, on filing an application for registration as required by section 425-155 and subject to continuing compliance with the other provisions of this part, shall have the same powers and privileges, and be subject to the same disabilities as are by law conferred upon limited liability partnerships; provided that the purposes for which the partnership is formed are not repugnant to or in conflict with any law of the State.
(b) Subject to the Constitution of this State, the laws of the state in which a foreign limited liability partnership is formed govern its organization and internal affairs and the individual liability of its partners. [L 1996, c 93, pt of §1]
