[§425-137] Right to wind up. [Repealed July 1, 2000. For new provision, see below.] Unless otherwise agreed the partners who have not wrongfully dissolved the partnership or the legal representative of the last surviving partner, not bankrupt, has the right to wind up the partnership affairs; provided that any partner, the partner's legal representative or the partner's assignee, upon cause shown, may obtain winding up by the court. For present provision, see above.] Continued use of a partnership name, or a dissociated partner's name as part thereof, by partners continuing the business does not of itself make the dissociated partner liable for an obligation of the partners or the partnership continuing the business.
