[§425-115] Nature of partner's liability. [Repealed July 1, 2000. For new provision, see below.] All partners are liable:
(a) Jointly and severally for everything chargeable to the partnership under sections 425-113 and 425-114.
(b) Jointly for all other debts and obligations of the partnership; but any partner may enter into a separate obligation to perform a partnership contract. [L 1972, c 17, §15]
§425-115 Statement of denial. [Section effective July 1, 2000. For present provision, see above.] A partner or other person named as a partner in a filed statement of partnership authority may file a statement of denial stating the name of the partnership and the fact that is being denied, which may include denial of a person's authority or status as a partner. A statement of denial is a limitation on authority as provided in section 425-114(a) and (b). [L 1999, c 284, pt of §1]
