§415B-95 Filing of articles of dissolution. The articles of dissolution shall be delivered to the director for filing.

Upon the filing of the articles of dissolution or upon a date subsequent to the filing as set forth in the articles, but not more than thirty days after being filed, the existence of the corporation shall cease, except for the purpose of any action, proceeding, or other appropriate corporate action by members, directors, and officers as permitted in this chapter.
