[§415B-8.5] Registered office and registered agent.
(a) Except as provided in this section, each corporation shall continuously maintain in the State:(1) A registered office that may be the same as any of its places of business; and
(2) A registered agent who shall be:
(A) An individual who resides in the State and whose business office is identical to the registered office;
(B) A domestic corporation or domestic profit corporation whose business office is identical to the registered office; or
(C) A foreign corporation or foreign profit corporation authorized to transact business in the State whose business office is identical to the registered office.
(b) The requirement that a corporation maintain a registered office and a registered agent shall not apply to any corporation during the time the corporation has at least one officer or director who is a resident of the State. [L 1999, c 249, pt of §2]
