§415B-16 Action by members or the board of directors without a meeting.
Any action required or permitted by this chapter to be taken at a meeting of the members or the board of directors of a corporation may be taken without a meeting if a consent in writing, setting forth the action so taken, is signed by all of the members or directors, as the case may be, entitled to vote on the subject matter of the meeting. Such consent shall have the force and effect of a unanimous vote and may be stated as such in any articles or document which is delivered to the director for filing pursuant to this chapter.
