[§415B-15] Waiver of notice. Whenever any notice is required to be given to any member or director of a corporation under this chapter or under the articles of incorporation or bylaws of the corporation, a waiver thereof in writing signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be equivalent to the giving of such notice. Attendance at a meeting without protest shall constitute a waiver of notice of that meeting.

Subject to any limitations which are expressly contained in the articles of incorporation or in the bylaws of any corporation, or in any applicable statute, when two-thirds of the directors or members entitled to vote at any meeting sign by themselves or their proxies or other authorized representatives a written consent or approval on the record of the meeting, actions taken at the meeting, however called or notified, shall be valid.
