§415-126 Filing of annual report of domestic and foreign corporations. (a) Each annual report of a corporation shall be delivered to the director between January 1 and March 31 of each year in the case of a domestic corporation, or between January 1 and June 30 in the case of a foreign corporation, except that the first annual report of a corporation shall be filed between January 1 and March 31 in the case of a domestic corporation, or between January 1 and June 30 in the case of a foreign corporation, of the year next succeeding the calendar year in which its articles of incorporation or its application for a certificate of authority, as the case may be, was filed by the director.

(b) If the director finds that the report conforms to the requirements of this chapter, the director shall file the same. If the director finds that it does not so conform, the director shall return the same to the corporation for any necessary corrections, in which event the penalties hereinafter prescribed for failure to file the report within the time hereinabove provided shall not apply, if the report is corrected to conform to the requirements of this chapter and returned to the director within thirty days from the date on which it was mailed to the corporation by the director.

(c) The annual report of a corporation, either domestic or foreign, filed in compliance with this section shall reflect the state of the corporation's affairs as of December 31 of the year preceding the year of filing.
